The financing demands of international and Hungarian borrowers, as well as the funding techniques of financial institutions active on the Hungarian market and the legal framework, require flexible solutions. Global economic effects and trends are also reflected in these financings. As a response, we constantly broaden our cross-border and local market experience to be able to structure, document and manage all possible financing techniques, from simple lending to sophisticated debt instrument offerings, for both the lender and the borrower side, in secured as well as unsecured financing transactions. In the field of regulatory requirements, in addition to various licensing and notification procedures (operation, foundation, change of control and other) of the Hungarian Financial Supervisory Authority (MNB), our regulatory practice includes the representation of our clients in market supervisory matters and MNB investigations in the increasingly challenging atmosphere of tracking the compliance of financial institutions. We also closely follow the developing trends and regulatory approach to fintech products and services.

Investment sector
Our firm regularly advises major international and domestic banks and other investment service providers in connection with public offering prospectus rules, which are applicable in Hungary and based on implemented EU directives, and advise on regulatory issues such as the cross border offering of investment services and products. We also support investment firms and intermediaries in various HFSA supervisory proceedings concerning non-compliance with operational rules or capital market conduct rules and market abuse prohibitions. In close cooperation with our dispute resolution team, we also provide litigation assistance to local investment firms against misleading prospectus claims.
We guide international investment firms with respect to their contemplated establishment in Hungary. We also provide transactional advice to global, regional and local investment firms in respect of their investments in Hungary.
Insurance sector
Our firm advises insurance companies and insurance intermediaries in connection with the provision of cross border insurance services and the distribution of various life and non-life insurance products to Hungary.
We assist investors, in the course of their investments in Hungarian insurance companies, regarding corporate due diligence, M&A and regulatory matters relating to the acquisition of influence.
In addition to transactional and regulatory experience, we also revise general terms of insurance policies and specific terms of insurance agreements, as well as distribution agreements. We also provide litigation or other dispute resolution support to solve commercial disputes regarding the intermediation of insurance products or disputes with the clients of insurance companies.
