Transactional matters
Our banking and finance team represents banks and other financial institutions in their capacities as agents, arrangers and lenders in secured and unsecured financings (including project financings, real estate financings, acquisition financings and corporate financings), as single lenders and as part of syndicated loans. In addition to advising financial institutions, we represent corporate borrowers in both new and existing financing (refinancing or restructuring) transactions. Our strong borrower practice covers simple lending structures, as well as highly structured financing arrangements. Our scope of work in transactional matters varies from conducting comprehensive due diligence procedures, assisting in the structuring, drafting and negotiating of finance documents and assisting in the perfection of various security interests.
Our banking and finance team’s clients are international and so are we. We often advise on cross-border deals across our network of correspondent law firms. We also team up with members of our M&A, real estate and other practices to develop innovative structures and to facilitate the goals of our clients.
Regulatory matters
Our banking and finance team regularly advises major domestic and international banks and other financial or investment service providers, as well as commercial corporations, on Hungarian financial and investment service regulations (including the conditions for providing cross-border financial and investment services). The firm’s experience also covers providing assistance in the establishment of, and obtaining operation permits for banks and other financial and investment service providers, as well as offering guidance concerning the announcement and licensing of changes to their management or ownership structure. Our regulatory practice involves delivering innovative answers to complex regulatory issues.
Furthermore, we are able to provide comprehensive legal advice in other financial services matters, such as factoring activities and financial leasing transactions.
Restructuring and work-out matters
We have significant experience in handling complex restructuring and work-out matters. We regularly represent leading Hungarian banks in the course of the restructuring or work-out phases of their various projects, including cases where Hungarian municipalities under debt settlement proceedings are involved.
Banking & finance litigation
We are extremely proud of our niche expertise in the field of banking and finance dispute resolution. In close cooperation with our dispute resolution team, we regularly act for clients in banking and finance litigation matters. Our practice covers all types of disputes in the banking industry, financial markets, funds and regulatory fields.
Most recently the firm has begun to support clients in fund recovery processes resulting from Business Email Compromise cyberattacks.
